These Terms of Use ("Terms") govern your access to and use of the Capstone AI platform ("Platform"), operated by Capstone AI ("we", "us", or "our"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. Acceptance of Terms

By accessing or using the Capstone AI Platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of your organization, you represent that you have the authority to bind the organization to these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into binding contracts to use the Platform. If you are using the Platform on behalf of a business or entity, you must have the authority to bind that entity to these Terms.

3. License to Use the Platform

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes, subject to compliance with these Terms. This license does not grant you ownership of any content, data, or intellectual property within the Platform.

4. Account Registration

To use certain features of the Platform, you may be required to create an account. When you register, you agree to:

• Provide accurate and up-to-date information.

• Keep your account credentials secure and confidential.

• Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

5. Use of the Platform

You agree to use the Platform only for lawful purposes and in compliance with these Terms. Specifically, you agree not to:

• Use the Platform for any illegal or unauthorized activities.

• Distribute or share content that is harmful, offensive, or violates the rights of others.

• Attempt to access or manipulate any data not intended for you.

6. Intellectual Property

All content, software, graphics, designs, and trademarks used on the Platform are the property of Capstone AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any content without our express written permission.

7. User-Generated Content

You may upload content to the Platform, such as Standard Operating Procedures (SOPs), training materials, or feedback. By submitting content, you grant us a worldwide, royalty-free, non-exclusive license to use, copy, modify, and distribute that content within the Platform. You are responsible for the content you upload and ensure it complies with applicable laws.

8. AI-Generated Content

The Platform may use AI tools to analyze data and generate predictions, insights, or recommendations. While we strive for accuracy, AI-generated content is provided "as is" and we make no guarantees about its correctness or applicability to specific circumstances. You should verify all AI-generated recommendations before acting on them.

9. Privacy and Data Use

Your use of the Platform is governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Platform, you consent to our collection and processing of data as described in the Privacy Policy.

10. Termination of Access

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, for violations of these Terms, illegal activities, or any behavior that disrupts the functionality of the Platform.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee the accuracy, completeness, or usefulness of the Platform's features, data, or AI-generated insights. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Capstone AI will not be liable for any indirect, incidental, special, or consequential damages, or any loss of data, profits, or goodwill arising from the use or inability to use the Platform. Our total liability to you for any claims related to these Terms will be limited to the amount you paid for access to the Platform in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Capstone AI, its affiliates, employees, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in Sheridan, Wyoming, and you agree to waive your right to a trial by jury.

15. Changes to These Terms

We may update or modify these Terms at any time. Any changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
